1. About Green Ledger

Green Ledger, Inc. ("Green Ledger," "we," "us," or "our") is incorporated in Delaware and provides a mobile application that helps consumers make informed grocery decisions through AI-powered product scanning, expert-backed nutritional scoring, and receipt analysis.

These Terms of Service ("Terms") govern your access to and use of the Green Ledger mobile application, website at greenledger.ai, and any related services (collectively, the "Service").

2. Eligibility

You must be at least 13 years of age to use Green Ledger. If you are under 18, you represent that your parent or legal guardian has reviewed and consented to these Terms on your behalf.

By using the Service, you represent that the information you provide is accurate, that you have the authority to enter into these Terms, and that your use of the Service will comply with applicable law.

3. AI Disclaimer — Scores Are Informational Only

The product quality scores, Healthy Eating Index (HEI) scores, and overall health scores provided by Green Ledger are calculated by algorithmic models and are based on publicly available nutritional science, USDA dietary guidelines, and American Heart Association (AHA) framework guidance. They are intended to help you make more informed purchasing decisions, not to replace the advice of a licensed physician, registered dietitian, or other qualified health professional.

Specifically:

• Scores are estimates based on available data and may not reflect the complete nutritional profile of a product.
• Ingredient and label data is extracted by AI and may contain errors. Always verify critical nutritional information directly on the product label.
• Green Ledger scores should not be used to manage medical conditions, allergies, or specific dietary requirements. Consult your healthcare provider for personalized dietary guidance.
• A high Green Ledger score does not mean a product is appropriate for your individual health needs.

Methodology Transparency

Green Ledger's KPI scoring methodology is derived from peer-reviewed nutritional research and established dietary guidelines, including:

• USDA Healthy Eating Index (HEI): Used for receipt-level dietary pattern scoring. The HEI is developed by the USDA and the National Cancer Institute. We use but do not own this framework.
• American Heart Association (AHA) dietary guidelines: Referenced for heart-health related scoring dimensions. We use but do not own this framework.

Green Ledger's product-level KPI scoring methodology — including the weighting and combination of individual nutritional dimensions — is proprietary to Green Ledger, Inc.

4. Acceptable Use

By using Green Ledger, you agree not to:

Data and Scraping

• Use automated tools, bots, scrapers, or any non-human means to extract product data, scores, pricing information, or any other content from the Service at scale.
• Access or attempt to access the Service through means other than the interfaces we provide.
• Compile or republish Green Ledger product scoring data, nutritional assessments, or pricing data for commercial purposes without our written permission.

Account and Identity

• Create multiple accounts to circumvent restrictions or manipulate platform data.
• Impersonate any person, company, or brand.
• Share your account credentials with others.

Brand and Expert Portal

• Submit false, misleading, or fabricated certifications, lab reports, or product claims through the brand or expert portal.
• Attempt to manipulate your product's Green Ledger score through fraudulent means, including submitting inaccurate data.

General

• Use the Service in any way that violates applicable federal, state, local, or international law.
• Transmit malicious code, viruses, or any content intended to disrupt or damage the Service or its users.
• Attempt to gain unauthorized access to any part of the Service, other user accounts, or our systems.

We reserve the right to determine what constitutes a violation of these provisions and to take appropriate action, including account suspension or termination, at our discretion.

5. Your Data and Consent

Your use of Green Ledger is governed by our Privacy Policy, which is incorporated into these Terms by reference.

As described in the Privacy Policy, consent to Green Ledger's data practices is required to create and use an account. By creating an account, you consent to all data practices described in the Privacy Policy. You may withdraw consent at any time by closing your account.

By using the Service, you acknowledge that:

• Product and receipt images you scan are transmitted to Google's Gemini AI service for analysis and are not stored by Green Ledger after processing.
• Green Ledger records store-level location (store name and general area) when you scan products or receipts, and uses this data internally to build its proprietary product and pricing database.
• Green Ledger provides retail partners with aggregate, non-personal product and pricing statistics derived from usage of the app. No personal information — including location, timestamps, or user identifiers — is included in what retail partners receive.

6. Intellectual Property

Green Ledger's Intellectual Property

The Green Ledger name, logo, app design, user interface, KPI scoring methodology (the weighting, dimensions, and combination of nutritional factors used to generate product scores), software, and all content created by Green Ledger are owned by or licensed to Green Ledger, Inc. and are protected by copyright, trademark, and other intellectual property laws.

You may not copy, reproduce, modify, distribute, or create derivative works from Green Ledger's proprietary content without our express written permission.

Third-Party Frameworks We Reference

Green Ledger uses but does not own the following third-party frameworks, which remain the property of their respective owners:

• USDA Healthy Eating Index (HEI): Developed by the U.S. Department of Agriculture and the National Cancer Institute. Used for receipt-level dietary scoring under the terms of public availability of U.S. government works.
• American Heart Association (AHA) dietary guidelines: Published guidance used as a reference for heart-health scoring dimensions. Green Ledger is not affiliated with, endorsed by, or a partner of the American Heart Association.

Your Content

You retain ownership of any content you submit, such as expert descriptions or company information. By submitting content to Green Ledger, you grant us a non-exclusive, royalty-free, worldwide license to use, display, and store that content for the purpose of operating and improving the Service.

7. Brand and Expert Portal

If you register as a brand, company, or expert on Green Ledger, additional terms apply:

• All certifications, lab reports, and product claims submitted must be accurate and current.
• You are responsible for keeping your submitted information up to date.
• Green Ledger reserves the right to independently verify submitted certifications and to remove or flag information that appears inaccurate or misleading.
• Green Ledger does not guarantee that submitted certifications will result in a particular score or placement in the app.
• Submission of false or fabricated documentation is grounds for immediate account termination and may be subject to legal action.

8. Account Suspension and Termination

Green Ledger may suspend or terminate your account, at our discretion and without prior notice, if we determine that you have:

• Violated any provision of these Terms.
• Engaged in fraudulent or deceptive behavior.
• Used the Service in a way that creates legal or reputational risk for Green Ledger or its users.
• Submitted false certifications or product information through the brand or expert portal.

You may delete your account at any time through the app Settings. Upon account deletion, Green Ledger will delete your personal data within 30 days, as described in the Privacy Policy.

Provisions of these Terms that by their nature should survive termination — including IP ownership, limitation of liability, and governing law — will survive any termination or expiration of these Terms.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components. We do not warrant the accuracy, completeness, or reliability of any product scores, nutritional information, or AI-extracted data provided through the Service.

Your use of the Service is at your sole risk.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GREEN LEDGER, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Damages arising from reliance on product scores or nutritional information provided by the Service.
• Damages arising from health or dietary decisions made based on information from the Service.
• Loss of data, revenue, profits, or goodwill.
• Damages arising from unauthorized access to or alteration of your account or data.

IN NO EVENT SHALL GREEN LEDGER'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO GREEN LEDGER IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you in full.

11. Indemnification

You agree to defend, indemnify, and hold harmless Green Ledger, Inc. and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party right; or (d) any content you submit to the Service that is false, misleading, or infringing.

12. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law provisions.

Any dispute arising from or related to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction to protect intellectual property rights or confidential information.

Class action waiver: You agree that any arbitration or legal proceeding will be conducted on an individual basis and not as a class action, collective action, or representative action.

If arbitration is found unenforceable in your jurisdiction, disputes shall be resolved in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.

EU/EEA residents: Nothing in this section limits your rights under mandatory EU consumer protection laws, including the right to bring a claim before your local courts or national consumer protection authority.

13. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email at least 14 days before the new Terms take effect, and we will update the Effective Date above. Your continued use of the Service after the effective date constitutes your acceptance of the updated Terms.

If you do not agree to the updated Terms, you must stop using the Service and may delete your account.
